1. Acceptance of Terms

By accessing or using the diCharts website (dicharts.com) and any software, documentation, or services provided by FINMETRIK IT SOLUTIONS LLC ("diCharts", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

diCharts provides a GPU-accelerated charting library (SDK) for building trading platforms, crypto exchanges, and financial dashboards. The library is distributed as a JavaScript/TypeScript package. We also provide documentation, examples, and support services.

3. Licence Tiers

diCharts is available under the following licence tiers:

• Community Edition (MIT) — Free for open-source projects, personal use, and non-commercial applications. You may use, modify, and distribute the library under the MIT licence terms.
• Professional Licence — Required for use in commercial or proprietary products that generate revenue. Includes unlimited developers and end users.
• Enterprise Licence — For large-scale deployments requiring dedicated support, custom features, SLA-backed response times, and white-label options.

The specific terms of each licence are defined in the licence agreement provided at the time of purchase.

4. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the software beyond what is permitted by applicable law
• Remove or alter any copyright notices, trademarks, or branding from the software
• Use the software to develop a competing charting library
• Redistribute the software as a standalone product (embedding in your application is permitted under the appropriate licence)
• Use our website or services for any unlawful purpose

5. Intellectual Property

The diCharts name, logo, website design, documentation, and proprietary source code are the intellectual property of FINMETRIK IT SOLUTIONS LLC. The Community Edition source code is licensed under MIT, which grants specific usage rights. All other rights are reserved.

6. Payment Terms

Professional and Enterprise licences require payment as specified in the applicable order form or invoice. All fees are quoted in USD unless otherwise stated. Payments are non-refundable except where required by applicable law. Enterprise customers may be offered NET-30 or NET-60 invoice billing.

7. Support

Support availability depends on your licence tier:

• Community Edition — Community support via GitHub Issues
• Professional Licence — Email support with 48-hour SLA
• Enterprise Licence — Dedicated support channel (Slack/Teams) with 4-hour SLA for critical issues

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DICHARTS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINMETRIK IT SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless FINMETRIK IT SOLUTIONS LLC and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the software or violation of these terms.

11. Termination

We may terminate or suspend your access to our services at any time for violation of these terms. Upon termination of a paid licence, you must cease all use of the software in commercial products. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify existing licence holders of material changes via email. Continued use of the software after changes constitutes acceptance of the revised terms.
